Terms and Conditions for Providers and Provider-related Donations


Thank you for your interest in Sunflower Wellness!


1. Sunflower Wellness is a non-profit 501(c)(3)charitable organization. We solicit donations from clients and other donors to pay for the services we provide.

2. We will accept donations related to a group of programs within a specific fitness facility, such as at Bay Club Marin, or across a fitness corporation, such as Western Athletic Clubs.

3. On the occasions we accept such directed donations, we reserve the right at all times to withhold up to 20% of all amounts received to pay for our administrative, overhead and program expenses. (To date, our expenses have remained negligible and we hope to keep things that way, but as we expand we will need to keep pace with running an increasingly complex organization.)

4. At all times, Sunflower Wellness retains the right to determine what programs and classes to offer. Although we will accept donations with requests to fund certain types of classes, we cannot assure anyone that we will in fact choose to fund those classes as we must consider the needs of all of our program and class participants.

5. We will no longer allow donations to come to us to pay for a specific instructor, provider or class program. (Why? If we are unable to track and direct such donations consistently, we risk violation of the California Nonprofit Integrity Act of 2004. As a matter of policy, Sunflower Wellness is unwilling to accept that risk, as we have historically been a small, volunteer-run organization.)

6. We will not allow any of our funds to be used to compensate providers for retroactive pay or “back pay.”

7. In the event any instructor or provider uses or attempts to use our nonprofit to solicit donations to be directed to himself or herself, we reserve the right to terminate our relationship with that person immediately.

8. All services are provided on an independent contractor basis only. Payments for taxes, health and other benefits are not withheld by Sunflower Wellness and are the sole responsibility of each independent contractor.

9. Our relationships with our providers are at-will and can be changed or canceled by us at any time for any reason without advance notice.

10. We require all providers to submit a timely and complete roster to us for every class they conduct for us, including name, email address, phone number, and signature from each and every activity or class participant. A roster must be submitted to us within five business days following the class session. Failure by a provider to submit a timely and complete roster may result in forfeiture of payment from Sunflower Wellness for that session. We reserve the right in each instance of late roster submission to determine at our sole discretion whether and how much we will pay for the class or session.

11. We require all providers to carry their own liability insurance coverage sufficient to cover liability claims related to their teaching classes and providing personal training services to clients. In agreeing to these Terms and Conditions, you certify that you carry such coverage.

12. We require all providers to provide us with their social security number in order for us to file all necessary tax forms. We take great care in protecting provider confidential information, employing technologies such as secure socket layer (SSL) certificates and encrypted email. If any provider is not comfortable providing us with a social security number online, we request that you provide one to us by phone. A contact phone number will be provided upon request.

13. Sunflower Wellness reserves the right to modify these Terms and Conditions at any time, and to require prompt acceptance from all providers in order to continue to offer classes and services. Compliance with the Terms and Conditions is mandatory for our providers at all times.
